By accessing or using PayrollGateway's services, website, or applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms apply to all visitors, users, and others who access or use the Services. By using our Services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Description of Services

PayrollGateway provides electronic payment processing services, including but not limited to:

  • ACH (Automated Clearing House) transfers
  • Electronic check (eCheck) processing
  • Wire transfer services
  • PayPal integration
  • Payroll management and processing
  • Payment tracking and reporting

3. Account Registration

To use certain features of our Services, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

4. Payment Terms

4.1 Fees

You agree to pay all fees associated with your use of the Services as described in our pricing page. We reserve the right to change our fees upon 30 days' notice.

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis. Transaction fees are deducted from processed payments or billed separately as agreed.

4.3 Refunds

Subscription fees are non-refundable except as required by law. Transaction fees are non-refundable once the transaction has been processed.

5. User Responsibilities

You agree to:

  • Use the Services only for lawful purposes
  • Not use the Services for any fraudulent or illegal activities
  • Comply with all applicable laws, including NACHA rules and regulations
  • Maintain accurate records of all transactions
  • Obtain all necessary authorizations before initiating payments
  • Not attempt to circumvent security measures

6. Prohibited Activities

You may not use our Services for:

  • Money laundering or terrorist financing
  • Fraudulent transactions or unauthorized payments
  • Transactions involving illegal goods or services
  • Violating any third party's intellectual property rights
  • Distributing malware or engaging in hacking activities
  • Any activity that could damage or impair our Services

7. Intellectual Property

The Services and all content, features, and functionality are owned by PayrollGateway and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy for information on how we collect, use, and protect your data.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYROLLGATEWAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless PayrollGateway and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us. Upon termination, you remain responsible for any outstanding fees.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or by email. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
